Terms and Conditions Stilios
In this document you find the terms and conditions of Stilios as well as the privacy policy.
1. Definitions
1.1 Stilios: company that provides customised virtual training courses and moderates, also provides physical training on behalf of clients. Stilios is located in Nistelrode and is registered with the Chamber of Commerce under number 67587887.
1.2 Client: the organisation or the person providing the contract.
1.3 Force majeure: the impossibility for Stilios or the client to meet the agreed obligations as a result of a circumstance that falls outside the sphere of influence of Stilios.
1.4 Complaints: all manifestations of the client’s dissatisfaction with respect to the execution of the assignment by Stilios.
2. Application
2.1 These terms and conditions apply to all agreements concluded by Stilios with clients regarding training, moderating and workshops in the broadest sense of the term, hereinafter referred to as “training”.
2.2 Derogations from these general terms and conditions are binding only to the extent that they have been agreed in writing.
2.3 These terms and conditions are governed by Dutch law.
2.4 Always applies the version as it was at the time of the agreement to be concluded.
3. Quotation & Command
3.1 Following a request from the client to take care of a training, Stilios sends a tender to the client with the validity of 14 days, unless the quotation restates otherwise. The agreement between Stilios and client is established and is therefore binding. This because both parties sign the offer or if a digital (written) confirmation has been given.
3.2 If Stilios and the client make use of a parties signed framework agreement that is deemed applicable to all current and future orders provided by the client to Stilios, a confirmation by e-mail shall be subject to the order confirmation of individual assignments. All articles of the framework agreement are in force, unless expressly agreed otherwise in writing.
3.3 All amounts quoted in the quotation and order confirmation are exclusive of VAT, travel and subsistence expenses, unless otherwise stated.
4. Cancellation
4.1 Cancellation of the training by the client is possible without any consequences up to 30 calendar days before the commencement of the established (start) date. In case of cancellation between 14 and 30 calendar days prior to the start, 50% of the aforementioned costs will be charged. If cancelled between 7 and 14 calendar days, 75% will be charged. In case of cancellation within 7 calendar days before the start, 100% of the total The agreed amount will be charged.
4.2 If the training in case of force majeure on the side of Stilios cannot be taken care of on the fixed date, a new date shall be determined by mutual agreement. All other agreements remain in force. Stilios cannot be held liable in any way for any damages or costs incurred with the date change.
4.3 If Stilios has already partially fulfilled its obligations in the event of force majeure, or can only partially fulfil its obligations, Stilios shall be entitled to invoice that part separately and the client shall be obliged to comply with this invoice if it concerned a separate contract.
5. Change
5.1 Although Stilios will consider a request to agree to amendments, additions and/or corrections of the agreed work, Stilios to such consent shall in no way be obliged. Feasibility in time to make the change is a crucial factor in this.
5.2 When Stilios agrees to the changes, additions and/or corrections of agreed activities, this may affect the agreed price and/or time of execution or delivery. Additional work and extra deliveries will be charged to the client by Stilios always according to the applicable rates. Less work may lead to a reduction in the agreed price, but Stilios reserves the right to charge the client for the costs incurred by Stilios, the non-otherwise economically exploitable man, and the lost profit.
6. Payment
6.1 Stilios sends the client an invoice for the relevant training. The client is obliged to comply with this within 14 calendar days after the invoice date, without suspension or settlement due to (presumed) shortcoming by Stilios, unless expressly agreed otherwise in writing.
6.2 If the client does not pay within the stipulated time limit, he shall be in default without any notice. Stilios is entitled to charge statutory interest from the expiration date of the invoice. Any judicial and extrajudicial collection costs that Stilios reasonably must make to be able to collect the claim and any interest will be recovered from the client. The extrajudicial collection costs are at least 15% of the amount due by the client, with a minimum of 200 euro.
7. Copyright
7.1 Modules, models, techniques, tools, including software, which have been used for the execution of the assignment, are and remain the property of Stilios, unless otherwise agreed. Revelation can therefore only be done after obtaining the consent of Stilios.
7.2 The copyright on the documents, training and training materials issued by Stilios and other records resulting from the work of Stilios is vested in Stilios unless agreed otherwise in writing.
7.3 The client has the right to multiply documents for use in his own organization, as appropriate within the purpose of the assignment and under the citation.
8. Liability
8.1 Stilios is committed to conducting the training to best understanding and ability. If the training is provided on behalf of Stilios by a third party, Stilios accepts only liability for that third party for the act or omission of that third party during the training itself, subject to the provisions of this article concerning the limitation of liability of Stilios.
8.2 Stilios accepts no liability for damages resulting from any act or omission on the basis of the information given during the course of the training. Unless such damage is caused by intentional or gross negligence of Stilios.
8.3 Outside the cases referred to in paragraph 2, any liability shall be limited to not more than the amount owed by the client to Stilios for the contract in question.
8.4 Stilios is never liable for indirect damage or loss of income.
8.5 Any liability of Stilios is at all times limited to the amount paid in the relevant case under the liability insurance of Stilios.
8.6 Stilios will not be held liable if the client has the possibility to directly address his insurance company or that of a third party in respect of the damage that has arisen.
9. Confidentiality
9.1 Stilios treats any personal, business or work related data that the client or participants provide confidential.
9.2 Stilios allows personal, business or work related data from client or participants shall not be exempt from third parties, statutory obligations.
9.3 Under confidential information is not understood information that is generally known or information obtained without using the confidential information.
10. Complaints
10.1 Complaints can be made by the client by this Written, substantiated and signed to send to Stilios.
10.2 Filing a complaint may not lead to the suspension of the client’s payment obligation.
11. Privacy Policy
Stilios appends great importance to the protection of your personal data. In This Privacy policy we want to provide clear and transparent information on how we handle personal data.
We do everything we can to ensure your privacy and therefore take care of your personal data. In all cases, Stilios adheres to the applicable laws and regulations, including the general data protection regulation. This implies that in any case we:
- Process your personal data in accordance with the purpose for which it was provided, these purposes and type of personal data are described in this Privacy policy document;
- Limit the processing of your personal data to only those data which are the minimum required for the purposes for which they are processed;
- Ask for your explicit consent if we need it for the processing of your personal data;
- have taken appropriate technical and organisational measures to ensure the security of your personal data;
- Not transmit any personal data to other parties, unless this is necessary to carry out the purposes for which they were provided;
- Are aware of your rights regarding your personal data, you want to point this out and respect them.
As Stilios we are responsible for the processing of your personal data. If, after taking our Privacy policy, or in a more general way, you have any questions about this or contacting us, you can use the contact details at the bottom of this document.
11.1 Processing of customer’s personal data
Personal data of customers are processed by Stilios for the purposes of the following objective (s):
- Administration (Customer/supplier and financial administration);
- Communication on the contract, assignment;
- Execution of the contract or assignment.
Basis for this personal data is:
- The agreed contract or assignment;
For the above objective (s), Stilios may request the following personal information from you:
- FirstName;
- Insert;
- Surname
- Address
- ZIP code;
- Place of residence;
- Telephone number;
- Email address;
- Gender
- Bank account
Your personal data will be stored by Stilios for the purposes of the aforementioned processing (s) for the period:
- During the term of the agreement and thereafter only in the financial administration for up to 7 years.
11.2 Provision to third parties
The data that you provide to us may be provided to third parties if this is necessary for the purposes described above.
For example, we use a third party for:
- providing the (financial) administration;
We never pass on personal data to other parties with whom we have not concluded a processing contract. With these parties (processors), we naturally make the necessary arrangements to ensure the security of your personal data. Furthermore, we will not disclose the information provided by you to other parties, unless this is legally required and permitted. An example of this is that the police are requesting information from us in the context of an inquiry (personal). In Such a case, we must cooperate and therefore be obliged to issue this information. We may also share personal data with third parties if you give us permission in writing.
11.3 Within the EU
We do not provide any personal data to parties established outside the EU.
11.4 Minors
We only process personal data of minors (persons over 16 years of age) if they have been given written permission by the parent, caregiver or legal representative.
11.5 Retention Period
Stilios does not keep personal data any longer than necessary for the purpose for which it has been provided or is required under the law.
11.6 Security
We have taken appropriate technical and organisational measures to protect your personal data from unauthorized processing, for example, we have taken the following measures;
- All persons who are able to take notice of your data on behalf of Stilios are obliged to maintain their confidentiality.
- Use a user name and password policy on all our systems;
- We pseudonymisation and ensure the encryption of personal data when there is reason;
- We make back-ups of the personal data to be able to recover it from physical or technical incidents;
11.7 Rights regarding your data
You have the right to inspect, rectify or remove the personal data which we have received from you. You can also object to the processing of your personal data (or any part of it) by us or by one of our processors. And also you have the right to let us transfer the information you provide to yourself or on your behalf directly to another party. We can ask you to legitimize you before we can answer the above requests.
If we may process your personal data on the basis of a consent given by you, you are always entitled to withdraw this consent.
11.8 Complaints
If you have a complaint about the processing of your personal data, we ask you to contact us directly. If we do not come together with you, we find this very annoying. You always have the right to lodge a complaint with the authority on personal data, this is the supervisory authority in the field of privacy protection.
